1. Application of these terms
These Terms of Service apply to content strategy, social media content, branded content creation, advertising creative, digital advertising management, and related services provided by Mindful Readers LLC, operating publicly as Mindful Readers. A project may also be governed by a proposal, statement of work, order form, campaign brief, invoice, or signed agreement. Those project documents are incorporated into these Terms.
If a signed project document conflicts with these Terms, the signed project document controls for the conflicting subject. Website prices are starting prices and do not create an obligation to accept a project at a listed price.
2. Formation of an engagement
An inquiry, discussion, estimate, or draft proposal does not create a service relationship. An engagement begins when Mindful Readers confirms the scope in writing and any required initial payment has been received. Acceptance may occur through a signed agreement, written approval of a proposal, payment of an invoice that references the scope, or another clearly documented method.
3. Scope and deliverables
The applicable project document will identify the service, deliverables, platforms, quantity, formats, schedule, included revision rounds, client responsibilities, fees, and any exclusions. Work outside the confirmed scope requires written approval and may require additional fees or timing. Examples, drafts, mood references, research notes, rejected concepts, working files, unused copy, and internal methods are not deliverables unless expressly listed.
Listed service descriptions summarize typical work. Content Strategy & Planning starts at $1,200; the Social Media Content Package starts at $1,500 per month; Branded Content Creation starts at $950 per project; the Advertising Creative Package starts at $1,100 per project; and Digital Advertising Management starts at $1,650 per month. Final pricing depends on the confirmed scope.
4. Client information and cooperation
The client must provide complete, accurate, and timely information reasonably required for the work, including business objectives, audience details, brand materials, product or service facts, prices, offers, account access, prior campaign information, and applicable deadlines. The client must appoint an authorized contact who can provide consolidated feedback and approvals.
Mindful Readers may rely on information supplied by the client without independently auditing every factual or legal statement. Delays, incomplete materials, conflicting instructions, unavailable access, or late approvals may extend the schedule and affect campaign continuity.
5. Client approvals
The client is responsible for final review and approval before publication or campaign launch. Approval includes confirmation of names, grammar, product facts, service descriptions, pricing, claims, comparisons, promotions, dates, testimonials, disclosures, legal notices, trademarks, and industry-specific requirements. A client's approval authorizes Mindful Readers to proceed on the basis of the approved material.
Corrections required because Mindful Readers did not follow the approved source material will be handled reasonably. Changes to previously approved facts, offers, strategy, or direction may be treated as additional work.
6. Revisions and change requests
The number and type of included revisions will be stated in the project scope. A revision adjusts work within the approved direction; it does not replace the brief, create a new concept, add a new format, or materially expand the deliverables. Feedback should be delivered in one consolidated communication by the authorized contact.
Additional revisions, fragmented feedback, changes following approval, new decision makers, new platforms, or a change in campaign direction may require a change order, additional invoice, or revised schedule. Mindful Readers will seek approval before performing material out-of-scope work.
7. Schedule and client delays
Any schedule is based on timely cooperation, access, payment, and approvals. Unless a written document expressly states otherwise, a target date is an estimate rather than a guaranteed deadline. If the client is unresponsive or unable to provide required material, Mindful Readers may pause the project, move it to the next available production window, or close an inactive project after reasonable notice.
Urgent work is subject to availability and may require a separate scope. Mindful Readers is not responsible for delays caused by platforms, vendors, account restrictions, outages, force majeure events, or incomplete client information.
8. Social media content services
Social media content may include agreed captions, graphics, themes, calendars, or publishing recommendations. The client is responsible for identifying platform access rules, regulated subject matter, prohibited claims, promotions, music or talent rights, and required disclosures. Unless expressly included, community management, direct-message monitoring, crisis response, customer support, daily publishing, and comment moderation are excluded.
9. Advertising creative
Advertising creative may include concepts, copy, graphics, layouts, and agreed size or format variations. Each platform may crop, compress, reject, limit, or alter delivery of creative. Mindful Readers may prepare materials with platform practices in mind but does not guarantee platform approval or uninterrupted use. Client approval confirms that the advertised offer and claims are accurate, substantiated, and legally permitted.
10. Advertising management
Advertising management may include account review, campaign structure, setup, testing, monitoring, optimization, and performance summaries within the written scope. Advertising spend is billed separately and remains the client's responsibility. The client must maintain valid account ownership, payment methods, platform permissions, and access to associated web properties.
Mindful Readers may adjust targeting, bids, budgets within approved limits, placements, schedules, and creative rotation using available information and platform tools. The client authorizes those ordinary management actions within the confirmed scope. Material budget changes require client approval unless a different authorization is documented.
If a client asks Mindful Readers to use customer lists, audience files, conversion data, or other client-controlled personal data for advertising, the client represents that it has the lawful right, required notices or permissions, and platform-compliant authority to provide and use that data for the requested purpose. Highly sensitive data should not be provided unless its use is expressly agreed in writing and appropriate safeguards are confirmed.
11. No guaranteed results
Content and advertising involve judgment, testing, and external conditions. Mindful Readers does not guarantee platform approval, impressions, reach, followers, engagement, leads, conversions, customer acquisition cost, revenue, profit, ranking, market position, or any other specific outcome. Performance may be affected by budget, competition, creative fatigue, website experience, offer quality, tracking limitations, account history, algorithms, privacy controls, seasonality, and market demand.
Reports describe information available from relevant systems and are not audited financial statements or guarantees of future results.
12. Fees and payment
Fees, deposits, billing frequency, and due dates appear in the applicable proposal or invoice. Work may be scheduled only after an initial payment is received. Recurring services may be invoiced before the applicable service period. Mindful Readers may pause work, withhold final deliverables, or suspend campaign management when an invoice is overdue.
Advertising spend, platform charges, stock licenses, fonts, music, talent, printing, postage, travel, premium software, and other third-party costs are excluded unless expressly included. Additional payment rules appear in the Payment Policy.
13. Cancellation and suspension
Cancellation, rescheduling, and refund rights are described in the Cancellation & Refund Policy and the project agreement. Earned fees and nonrecoverable third-party commitments are not refundable. Mindful Readers may suspend or terminate work for nonpayment, unlawful instructions, abusive conduct, material breach, security risk, or a request that would reasonably expose either party to legal or platform-policy violations.
14. Client materials and permissions
The client represents that it owns or has sufficient permission to use all names, logos, images, video, music, copy, customer data, testimonials, claims, trademarks, account credentials, and other material it provides. The client authorizes Mindful Readers to use that material solely to perform and administer the services. The client is responsible for maintaining required releases, licenses, consents, and disclosure records.
15. Intellectual property and final rights
Ownership of final approved deliverables will be defined in the project agreement. Unless that document states otherwise, rights in final custom deliverables are transferred or licensed only after full payment. Mindful Readers retains ownership of pre-existing tools, templates, processes, methods, know-how, rejected concepts, drafts, and reusable non-client-specific elements.
Third-party assets remain subject to their original licenses and cannot be transferred beyond those terms. Commissioned creative work does not automatically become a work made for hire unless the legal requirements and written agreement for that status are satisfied. A project agreement may instead provide an express assignment or license.
16. Portfolio use
Unless confidentiality terms or a written opt-out state otherwise, Mindful Readers may identify the client and display publicly released final work for portfolio, professional, or self-promotional purposes after the client has made the work public. Confidential information, private account data, unpublished strategy, and nonpublic performance information will not be intentionally disclosed for portfolio use.
17. Confidentiality
Each party should use reasonable care to protect nonpublic information clearly identified as confidential or reasonably understood to be confidential. Confidential information may be used only for the engagement and disclosed to personnel or providers who need it for that purpose. Confidentiality does not cover information already lawfully known, publicly available without breach, independently developed, or lawfully received from another source.
A party may disclose information when legally required after providing notice when legally permitted. Separate nondisclosure terms control if signed.
18. Third-party platforms and providers
Services may depend on social platforms, advertising networks, website hosts, analytics systems, payment processors, file-storage services, and other independent providers. Mindful Readers does not control their uptime, policies, fees, data practices, moderation decisions, account suspensions, algorithms, attribution systems, or product changes. A third-party failure does not automatically constitute a breach by Mindful Readers.
19. Warranties and liability
Mindful Readers will perform services with reasonable professional care consistent with the agreed scope. Except for that commitment and any express written warranty, services are provided without implied warranties to the maximum extent permitted by law. Mindful Readers is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, lost profits, lost opportunities, loss of goodwill, or third-party platform action.
Unless a signed agreement lawfully provides otherwise, aggregate liability arising from an engagement will not exceed the fees paid to Mindful Readers for the specific service giving rise to the claim during the three months preceding the event. This limitation does not apply where liability cannot legally be limited.
20. Governing law and general provisions
These Terms are governed by Colorado law and applicable federal law. The parties should first attempt in good faith to resolve a dispute through written notice and direct discussion. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Neither party may assign an active engagement without reasonable written consent, except in connection with a lawful business reorganization. Electronic approvals and records may be used to document the agreement.
